1. Affiliate shall not open or operate multiple Customer Accounts without the prior written consent of Uphold;
2. Affiliate shall not register a Customer Account on behalf of another person;
3. Affiliate shall not offer incentives or rewards to New Customers or New Sub-Affiliates to encourage them to apply for a Customer Account or Affiliate Account, unless expressly agreed to by Uphold in writing in advance;
4. Affiliate shall not create or employ any mechanism designed to artificially or automatically generate sign-ups to the Uphold Services or Uphold Affiliates Program;
5. Affiliate shall not take any action designed to or which is likely to induce, encourage or cause any Referred Customer, Affiliate or Sub-Affiliate to modify his or her existing terms with Uphold or to terminate his or her existing relationship with Uphold for any purpose, including for the purpose of re-registering such Referred Customer or Affiliate so as generate additional Commissions for the benefit of Affiliate;
6. Affiliate shall not use counterfeit, forged, imitated, stolen or otherwise altered identification documents;
7. Affiliate shall not cause, endorse, advise or approve any type of practice that enables itself, Referred Customers or Sub-Affiliates to breach or circumvent any of Uphold’s security or verification or other compliance procedures, which includes, but is not limited to making fraudulent or abusive transactions, and opening multiple accounts in breach of the Uphold Terms of Use, these Terms and Conditions, as well as any other terms and conditions available on Uphold’s webpages as such terms and conditions pertain to the operation of the Uphold Affiliates Program;
8. Affiliate shall not make or knowingly benefit from transactions which Uphold in its sole discretion deems to be suspicious, unauthorized, fraudulent or malicious including without limitation transactions that relate to money laundering, terrorism financing, fraud or other illegal activities;
9. Affiliate shall not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under these Terms and Conditions without the prior written consent of Uphold.
10. Uphold may terminate with immediate effect any Affiliate’s relationship under these Terms and Conditions with immediate effect where Uphold has detected, in its sole but reasonable consideration, abuse of these Terms and Conditions.
