  1. submitted by any consumer who clicks on a banner or any other advertising material on Affiliate's Website;
  2. is approved by Client as an enrolled consumer;
  3. is reported as approved by Client to Affiliate.

1. Affiliate is prohibited from promoting “Client” products or services through:
- telemarketing (which includes text or fax);
- any off-line marketing channel;
- social media marketing;
- using user generated content;
- email communication;
- any other means not expressly agreed to by “Client.”

1.1. If Affiliate intends to employ targeting techniques to deliver any content related to “Client,” or its products, Affiliate must receive prior written approval from “Client” which may be given or withheld in “Client’s” sole and absolute discretion.

2. Affiliate agrees that it shall not engage in any of the following on or in connection with its website:
- Manipulate key word searches on portals;
- Misrepresent itself as a “Client” website by altering the visual "look and feel" of or text from “Client’s” website, and/or engage in "framing" a “Client” website;
- Engage in domain squatting or typo squatting;
- Provide an End User any incentive, whether it is cash, points, or other material gift, in exchange for a submission of End User Agreement and “Client’s” Services.
- Use a proxy server or redirector server to proxy “Client” web pages or web websites through your website, URL or URI;
- Otherwise violate any party’s intellectual property rights, including, without limitation, "scraping" text or images from “Client’s” Website;
- Publish its website without a clearly stated online privacy policy;
- Base its operations or servers outside of the United States;
- Publish content that is considered offensive or inappropriate by “Client;” or
- Use “Client” Marks or, names in any Affiliate domain name, URL or URI. “Client” Marks or, names shall include, but are not limited to, any word or combination of the words including Client Name or any product name.

3. Affiliate is prohibited from having any sub-affiliates.

4. Affiliate agrees to comply with all applicable laws, rules, regulations and regulatory guidelines, including the Federal Trade Commission’s “Guides Concerning the Use of Endorsements and Testimonials in Advertising, policy regarding Native Advertising and CAN-SPAM. Failure to comply with proper disclosure practices could result in termination of the Agreement.

5. Affiliate must ensure that all information (including, but not limited to, pricing, rewards and bonus information) appearing on Affiliate URLs is accurate. Affiliate will not change, alter, adapt, or misrepresent any of the content as provided by “Client.” Affiliate shall in no way represent any co-branded or partnership relationship with “Client.”

6. Affiliate is prohibited from:
- installing spyware on another person's computer,
- causing spyware to be installed on another person's computer, or using a context based triggering mechanism to display an advertisement that partially or wholly covers or obscures paid advertising or other content on an Internet website in a way that interferes with a user's ability to view the Internet website or cookie surfing or stuffing.

7. Affiliate acknowledges and agrees that “Client” may use website tracking and monitoring audit tools (e.g. spider or crawling software tools) (“Third Party Audit Tools”) to monitor all Affiliate websites and applications in the Affiliate program for the purpose of assessing Affiliate program performance and customer experience, ensuring that the Affiliate is performing its obligations under this Agreement, including displaying the correct Links, ads and other Affiliate program materials, clearly and conspicuously disclosing the material relationship between Affiliate and “Client” and the acknowledgement that editorial content is only the content of Affiliate and has been provided, reviewed and approved by “Client,” and any other reasonable purpose relating to monitoring the Affiliate program. Affiliate will not block or otherwise interfere with the Third Party Audit Tools. Upon notice from Affiliate that Affiliate is so interfering with the Third Party Audit Tools, Affiliate agrees to promptly cooperate with “Client” to eliminate such interference.

8. Prohibitions Regarding Use of “Client’ Marks in paid or natural search optimization strategies
- Affiliate shall not use as a keyword search term for any of Affiliate’s Internet or mobile marketing efforts any “Client” Marks, “Client” URLS, names, or any words, combination or derivative of words including, but not limited to “TransUnion,” and its products and services of its affiliates and subsidiaries.
- Affiliate shall include all of the “Client” Marks as negative terms in all of Affiliate’s Internet or mobile keyword search marketing efforts. For the avoidance of doubt, this requirement is designed to ensure that no “Client” Marks appear in a broad search match.
- Affiliate shall not use for search engine optimization purposes any “Client” URL, any portion of a “Client” URL or any URL that purports to be a “Client” URL that contains any “Client” Mark, which includes, but is not limited to, any word or combination of the words containing “Client’s” name and its products. For example: An Affiliate may not optimize their websites for natural search rankings by embedding “Client”.com in the page builds.
- Affiliate shall direct any consumer obtained through search results to Affiliate’s website. Affiliate may not directly link from any Affiliate search result to any “Client” URL or application link assigned to Affiliate.
