Any violation of this Section shall be deemed a material breach of these Terms:



Use or otherwise incorporate the word Regions or EnerBank or EnerBank USA or variations or misspellings thereof in the domain name(s), in text unapproved by BWP, or in the metatags of your website(s);
Make any representations, either express or implied, on behalf of Regions or relating to any of its products or services (collectively, “Regions services”), or create an appearance that a visitor to your website is visiting Regions website (including, but not limited to, “framing” the Regions or EnerBank website);
Use pop-up or pop-under advertisements to advertise Regions or any Regions services;
Provide incentives to visitors to your website in order to induce them to complete a Regions application;
Use any mark, name or domain name of any type which is the same as, or confusingly similar to, Regions or other Regions trademarks;
Alter the Links or any promotional materials provided to you by BWP, or use other promotional materials or language to describe or promote the Regions services without first receiving written authorization from BWP;
Make any statements regarding the Regions services that are false, misleading, or inconsistent with any marketing or other materials (including price lists) provided to you by BWP from time to time, or imply any type of affiliation or relationship with Regions other than that of Publisher;
Engage in any unfair, misleading or deceptive practices with respect to your business, or with respect to Regions or any Regions services (which includes, without limitation, disparaging Regions in any way) or violate any laws or regulations when performing your obligations under this Agreement;
Conduct business in a manner that may not reflect favorably at all times on the good name, good will, and reputation of Regions;
Use any other person or company’s trademark or intellectual property in an infringing manner on, or in connection with, your website;
Use any graphic, textual or other materials to promote the Regions services other than the Links provided unless BWP has approved such other materials in writing in advance;
Send directly, or through another party, any email advertising, any Regions services, the Regions website or any online properties that otherwise are intended to promote Regions;
Purchase or bid on any advertisements or sponsored listings on a search engine that are triggered by a search term consisting in whole or in part of a Regions trademark, any variant thereof or any confusingly similar mark.


(c) If at any time BWP determine in their sole discretion that an approved website is unsuitable for the Program or that you are otherwise in breach of these Terms, BWP may require that you terminate use of the Links on the non-complying websites, or we may terminate your participation in the Program and/or this Agreement immediately.
